By signing this Agreement, the Renter acknowledges that they have read, understood, and agreed to all terms and conditions contained herein.

This Rental Agreement ("Agreement") is entered into by and between Out South Ventures LLC ("Company") and the individual signing below ("Renter").

The Renter represents that all information provided is accurate and complete.

Full payment is due prior to the start of the rental period unless otherwise agreed in writing by Out South Ventures LLC.

The Renter authorizes Out South Ventures LLC to charge the payment method on file for:

• Rental fees
• Security deposits
• Taxes
• Mileage overages
• Refueling charges
• Charging costs
• Cleaning fees
• Damage repairs
• Administrative fees
• Towing and recovery expenses
• Toll charges
• Parking tickets
• Traffic violations passed through to the Company
• Collection costs
• Any other charges permitted under this Agreement

Failure to promptly pay any amount due shall constitute a breach of this Agreement.

The rental vehicle or trailer may only be operated by drivers specifically authorized by Out South Ventures LLC.

The Renter agrees not to:

• Allow unauthorized drivers to operate the rental
• Use the rental in any illegal activity
• Drive while impaired by alcohol, drugs, or medication
• Operate the rental recklessly or negligently
• Transport illegal substances or contraband
• Use the rental in races, competitions, speed events, or stunts
• Use the rental for commercial hauling, rideshare, delivery services, or towing unless specifically authorized
• Operate the rental off-road except on maintained public roads
• Overload the vehicle or trailer beyond manufacturer limits

The rental vehicle or trailer shall not be taken outside the United States under any circumstances.

Travel into:

• Canada
• Mexico
• Any foreign country

is strictly prohibited unless specifically approved in writing by Out South Ventures LLC.

Violation of this section constitutes a material breach of this Agreement and may result in immediate termination of the rental and additional fees.

The Renter acknowledges that insurance requirements and coverages apply to this rental.

The Renter agrees to comply with all insurance requirements established by Out South Ventures LLC and its insurance providers.

MBA INSURANCE PROVISIONS

The Renter acknowledges and agrees to all terms, conditions, exclusions, deductibles, coverage limitations, and requirements imposed by MBA Insurance and any other insurance providers utilized by Out South Ventures LLC.

The Renter remains financially responsible for all losses, damages, deductibles, exclusions, or claims not covered by applicable insurance.

The Renter accepts full responsibility for all damage occurring during the rental period, including but not limited to:

• Powertrain damage
• Engine damage
• Transmission damage
• Suspension damage
• Tire damage
• Wheel damage
• Undercarriage damage
• Battery damage
• Towing system damage

• Scratches
• Dents
• Paint damage
• Cracked glass
• Windshield chips
• Upholstery damage
• Interior stains
• Odors
• Exterior damage

• Missing items
• Missing keys
• Missing accessories
• Damaged charging equipment
• Damaged trailer equipment
• Awning damage
• Appliance damage
• Electronic damage
• Water damage

The Renter agrees to reimburse Out South Ventures LLC for all costs associated with:

• Inspection
• Repair
• Replacement
• Reduced vehicle value
• Loss of rental income
• Administrative expenses
• Transportation costs
• Recovery expenses

Normal light wear associated with ordinary use is excluded.

The Renter shall immediately notify Out South Ventures LLC of:

• Any accident
• Any collision
• Any theft
• Any vandalism
• Any mechanical issue
• Any police involvement
• Any injury

Failure to report an incident promptly may result in additional liability.

Smoking, vaping, marijuana use, tobacco use, or the use of any inhaled substances inside the rental vehicle or trailer is strictly prohibited.

Evidence of smoking, including but not limited to:

• Smoke odor
• Ashes
• Residue
• Burn marks
• Vape residue

shall result in a minimum fee of $150 plus the actual cost of cleaning, deodorization, ozone treatment, repairs, restoration, and lost rental income if applicable.

The Renter agrees that such fees are reasonable and necessary due to the difficulty of removing smoke contamination.

The rental must be returned in reasonably clean condition.

Reasonable cleaning includes:

• Removal of personal items
• Removal of trash
• Basic cleanliness consistent with ordinary use

The following may result in excessive cleaning charges:

• Excessive dirt
• Mud
• Sand
• Pet hair
• Food spills
• Bodily fluids
• Stains
• Excessive odors
• Biological contamination

A minimum $100 excessive cleaning fee may be charged, plus any actual cleaning, restoration, detailing, repair, or downtime expenses.

The rental must be returned with substantially the same fuel, battery charge, propane level, or other consumables as provided at pickup.

The Renter authorizes Out South Ventures LLC to charge:

• Refueling charges
• EV charging costs
• Propane refill costs
• Service fees related to replenishment

If renting a trailer, the Renter warrants that:

• The tow vehicle is properly rated
• The hitch is compatible
• The electrical connection functions properly
• The tow vehicle has adequate braking capability

The Renter assumes all responsibility for safe towing operations.

The Renter agrees to defend, indemnify, and hold harmless Out South Ventures LLC, its members, managers, employees, agents, and affiliates from any claim, demand, lawsuit, judgment, fine, damage, injury, loss, expense, or liability arising from:

• Use of the rental
• Possession of the rental
• Operation of the rental
• Towing activities
• Passenger injuries
• Third-party claims
• Property damage
• Violations of law
• Negligent conduct of the Renter or any occupant

The Renter understands that operation of a motor vehicle or travel trailer involves inherent risks.

The Renter voluntarily assumes all risks associated with operation and use of the rental property.

To the maximum extent permitted by law, Out South Ventures LLC shall not be liable for:

• Personal injury
• Death
• Property damage
• Lost wages
• Lost profits
• Missed travel plans
• Consequential damages
• Incidental damages
• Emotional distress

arising from use of the rental vehicle or trailer.

The Renter releases Out South Ventures LLC from all claims except those resulting from gross negligence or willful misconduct where such release is prohibited by law.

Out South Ventures LLC is not responsible for:

• Lost property
• Stolen property
• Damaged personal property

left in or transported within the rental.

The Renter acknowledges that rental units may contain:

• GPS tracking systems
• Mileage monitoring devices
• Telematics systems
• Vehicle diagnostics systems

These systems may be used for:

• Security
• Recovery
• Billing
• Insurance compliance
• Maintenance monitoring
• Theft prevention

The Renter agrees to pay all costs incurred by Out South Ventures LLC in collecting unpaid amounts, including:

• Collection fees
• Court costs
• Filing fees
• Attorney fees where permitted by law
• Investigation expenses

This Agreement shall be governed by the laws of the State of Utah.

Any legal action arising from this Agreement shall be brought exclusively in a court of competent jurisdiction located within the State of Utah.

This Agreement, together with any insurance documents, checkout forms, inspection reports, policies, and addenda, constitutes the entire agreement between the parties.

By signing below, the Renter specifically acknowledges:

☐ I understand the no-smoking policy and minimum $150 fee.

☐ I understand the excessive cleaning policy and minimum $100 fee.

☐ I will not take the rental outside the United States.

☐ I understand that insurance coverage may be limited and that I may remain financially responsible for losses.

☐ I release and hold harmless Out South Ventures LLC as permitted by law.

☐ I agree to all terms of this Rental Agreement.
